Foundation Phase Progress
Updated 8/27/2025Revolutionary Dual-Class Structure
Money ≠ Power: First cooperative to separate economics from democracy
Class M Shares
Class R Shares
Why This Matters
Traditional corporations give control to whoever has the most money. Traditional cooperatives can't raise enough capital to scale. Our bimodal structure gives you the choice:
- Join the democracy - Get voting power regardless of your financial situation
- Invest for returns - Get profit sharing without controlling member decisions
- Do both - Hold Class M for democracy AND Class R for economics
Legal Structure
Citizens Reunited is organized as a Delaware Public Benefit Corporation with dual-class shares:
- Class M shares have voting rights, no economic rights
- Class R shares have economic rights, no voting power
- All major decisions require majority Class M approval
- Profit distributions go only to Class R shareholders
Governance Protection
Our structure prevents wealth concentration from overriding democratic control:
- Maximum Class M shares per person: 1 (cannot buy extra votes)
- No conversion rights between share classes
- Member decisions cannot be overruled by investors
- Cooperative principles embedded in corporate structure
